1. Acceptance of Terms
By accessing or using the Stratosphere platform (“Service”), provided by Stratosphere Inc. (“Company,” “we,” or “us”), you and the organization you represent (“Customer,” “you”) agree to be bound by these Terms of Service.

2. Services Description
Stratosphere provides an AI-native operating system for pharmaceutical commercialization, including KOL management, event logistics, and regulatory intelligence. We reserve the right to modify or discontinue features to improve the Service.

3. Use of Service & Compliance

  • Organizational Use: You must be a representative of a life sciences or pharmaceutical organization to use the Service for business purposes.

  • Compliance with Laws: Customer is responsible for ensuring that its use of the Service (including KOL payments and data collection) complies with all applicable local and international regulations, including but not limited to the Sunshine Act, Anti-Kickback Statute, and GDPR.

4. Customer Data & Intellectual Property

  • Your Data: You retain full ownership of all data, content, and information you upload to the Service (“Customer Data”).

  • Our License: You grant us a limited, worldwide license to host, process, and display Customer Data solely to provide the Service to you.

  • Proprietary Rights: Stratosphere owns all rights, title, and interest in the platform, including AI models, UI/UX, and aggregated anonymized data used for system improvement.

5. AI Disclaimer
Stratosphere utilizes artificial intelligence and machine learning. While we strive for high accuracy, AI-generated outputs (including intelligence signals and profile summaries) should be verified by the Customer. Stratosphere is not liable for business decisions made based on AI-generated content.

6. Fees and Payment
Service fees are based on the subscription plan selected. Unless otherwise stated, fees are non-refundable. We reserve the right to change pricing with 30 days’ notice.

7. Limitation of Liability
To the maximum extent permitted by law, Stratosphere Inc. shall not be liable for any indirect, incidental, or consequential damages. Our total liability for any claim arising from these terms shall not exceed the amount paid by you in the 12 months preceding the claim.

8. Governing Law
These Terms shall be governed by the laws of the State of Delaware, without regard to conflict of law principles.
